Welcome to WiseShare. These General Conditions (“Conditions”) set out the terms governing access to and use of the WiseShare platform (the “Service”). By using WiseShare, you confirm that you accept these Conditions and agree to comply with them. If you do not agree, you must not use the Service.
1. DEFINITIONS
1.1 “WiseShare” refers to WiseShare Ltd, a company incorporated under the applicable laws of the Republic of Tunisia. 1.2 “Customer” means any natural or legal person accessing or using the Service. 1.3 “Confidential Information” means proprietary or sensitive business information shared through the Service. 1.4 “Content” refers to any documents, data, or files uploaded, shared, or stored on the platform. 1.5 “Subscription Plan” means the paid or unpaid tier of service chosen by the Customer.
2. ACCEPTANCE OF TERMS
2.1 These Conditions govern the use of WiseShare’s platform and services. By registering or using the Service, the Customer agrees to be bound by these Conditions and any related policies incorporated herein. 2.2 WiseShare reserves the right to modify these Conditions at any time. Customers will be notified of material changes, and continued use of the Service after such changes constitutes acceptance.
3. CUSTOMER ELIGIBILITY & ACCOUNT RESPONSIBILITIES
3.1 Customers must be at least 18 years old or have legal capacity to enter into contracts under applicable law. 3.2 Customers are responsible for maintaining the confidentiality of their account credentials and must immediately notify WiseShare of any unauthorized access. 3.3 The Customer shall be solely responsible for all activities conducted through their account.
4. LICENSE AND RESTRICTIONS
4.1 WiseShare grants Customers a limited, non-exclusive, non-transferable, and revocable right to use the Service for business purposes only. 4.2 Customers shall not:
• Reverse-engineer, decompile, or disassemble any part of the platform.
• Circumvent, disable, or interfere with security-related features.
• Use the platform to transmit any malware, unauthorized data, or infringing material.
5. SERVICE AVAILABILITY AND MODIFICATION
5.1 WiseShare makes commercially reasonable efforts to ensure availability but does not guarantee uninterrupted access. 5.2 WiseShare may modify, suspend, or discontinue any part of the Service at its discretion, with reasonable notice where possible.
6. INTELLECTUAL PROPERTY
6.1 All intellectual property rights in the Service, including trademarks, software, and content, remain the exclusive property of WiseShare. 6.2 Customers retain ownership of their uploaded Content but grant WiseShare a limited right to process such Content for the provision of the Service.
7. DATA PROTECTION AND SECURITY
7.1 WiseShare employs industry-standard security measures, including encryption, access control, and controlled transfer and download permissions. 7.2 WiseShare shall not access, use, or disclose Customer Content except as necessary to provide the Service or comply with legal requirements.
8. LIMITATION OF LIABILITY
8.1 WiseShare provides the Service “as is” and disclaims all implied warranties to the fullest extent permitted by law. 8.2 WiseShare shall not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use the Service.
9. TERMINATION
9.1 WiseShare reserves the right to suspend or terminate access to the Service for breach of these Conditions. 9.2 Upon termination, the Customer will no longer have access to stored Content, and any outstanding fees remain payable.
10. ACCOUNT INACTIVITY
10.1 WiseShare reserves the right to suspend or terminate accounts that remain inactive for a continuous period of 12 months.10.2 Affected Costumers will be notified at least 30 days prior to any action being taken.
11. FORCE MAJEURE
11.1 WiseShare shall not be held liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, internet outages, cyberattacks, governmental restrictions, or labor disputes.
12. COMMUNICATIONS AND NOTIFICATIONS
12.1 All communications from WiseShare to Costumers shall be made via the email address provided during registration or via the platform’s notification system.12.2 Costumers are responsible for keeping their contact details accurate and up to date.
13. BETA FEATURES
13.1 Some features of the Service may be offered on a beta basis. These features are provided “as-is” and may be modified or removed at WiseShare’s sole discretion.13.2 Costumers acknowledge and accept that beta features may contain bugs or operate unpredictably.
14. THIRD-PARTY SERVICES
14.1 The Service may contain links or integrations with third-party tools and services.14.2 WiseShare is not responsible for the availability, accuracy, or content of such third-party services, which are governed by their respective terms.
15. EXPORT CONTROL AND SANCTIONS COMPLIANCE
15.1 Costumers shall not use the Service in violation of applicable export laws, regulations, or sanctions programs enforced by the Tunisian government or international bodies.
